These Terms & Conditions ("Terms") govern your access to and use of Warranty Works (the "Service"), provided by ECP The Company LLC ("we", "us", "our"). By creating an account or otherwise using the Service, you agree to these Terms.

1. The Service

Warranty Works is a software-as-a-service platform that helps home service contractors track, organize, and submit manufacturer warranty claims, with optional Gmail synchronization and inbound-email intake.

2. Accounts

You must provide accurate registration information and keep your credentials confidential. You are responsible for all activity under your account. If you sign up on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law;
  • Send fraudulent, deceptive, abusive, or spam content;
  • Infringe the intellectual property or privacy rights of others;
  • Probe, scan, scrape, or interfere with the security or integrity of the Service, including by uploading malware or attempting unauthorized access;
  • Reverse engineer, resell, or redistribute the Service except as expressly permitted.

4. Intellectual Property

The Service, including all software, documentation, design, and branding, is owned by ECP The Company LLC and protected by applicable IP laws. We grant you a limited, non-exclusive, non-transferable right to use the Service for its intended purpose within the plan you have selected.

5. User Content

You retain ownership of warranty claim data, attachments, and other content you submit ("User Content"). You grant us a limited license to host, process, and transmit User Content solely to provide the Service.

6. Payments, Billing & Refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, subscription cancellation, and refund mechanics are governed by Paddle's Buyer Terms. Our refund policy is described on our Refund Policy page.

7. Free Trial

New accounts receive a 3-day free trial with full Pro Dealer access. When the trial ends, your account becomes read-only until you subscribe to a paid plan.

8. Service Level

We work to keep the Service available, but we do not guarantee uninterrupted or error-free operation. The Service is provided "as is" and, to the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

9. Suspension & Termination

We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may cancel at any time through the customer portal or by contacting us. On termination, your access ends and we will delete or return your data within a reasonable period.

10. Liability

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service is capped at the fees you paid to us in the 12 months preceding the claim. We are not liable for indirect, consequential, or special damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability that cannot be excluded by law (e.g., fraud, death, or personal injury caused by negligence).

11. Indemnity

You agree to indemnify us against third-party claims arising from your User Content, your unlawful use of the Service, or your breach of these Terms.

12. Changes

We may update these Terms from time to time. Material changes will be communicated by email or in-product notice.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law rules. Disputes will be resolved in the state or federal courts located in Delaware.
